Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Proseed’s websites, applications, and services (collectively, the “Service”) offered by Proseed (“we,” “us,” or “our”). By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Proseed provides project management tools for builders, including tasks, notes, milestones, expenses, collaboration features, optional AI-assisted functionality, and optional public or “build in public” surfaces (such as public project pages, embeds, or feeds). Features may change over time; we may add, modify, or discontinue functionality with reasonable notice where practicable.
2. Eligibility
You must be able to form a binding contract in your jurisdiction and meet any minimum age required in your region (typically at least 13 years old, or older where a higher age applies). If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. Accounts and security
You are responsible for maintaining the confidentiality of your login credentials and for activity under your account. Notify us promptly at proseedapp@outlook.com if you suspect unauthorized access.
4. Acceptable use
You agree not to:
- Violate applicable laws or third-party rights;
- Upload or distribute malware, attempt to breach security, or probe or stress systems without authorization;
- Scrape, crawl, or harvest the Service in violation of these Terms or technical limits;
- Impersonate others or misrepresent your affiliation, or use the Service to send spam or deceptive communications;
- Use the Service to store or process highly sensitive categories of personal data where the Service is not appropriate (for example, full medical records or government ID numbers), unless you have a separate agreement with us permitting that use.
We may suspend or terminate access if we reasonably believe you have violated these Terms or pose a risk to the Service or other users.
5. Your content
You retain ownership of content you submit (“User Content”). You grant us a worldwide, non-exclusive license to host, reproduce, process, display, and distribute User Content solely as needed to operate, improve, and provide the Service—including, where you enable public features, making that content available to visitors and third-party platforms as you configure.
You represent that you have all rights necessary to grant the above license and that your User Content does not infringe third-party rights. You are responsible for backups of important data; we recommend exporting or copying critical information periodically.
6. Public features
When you enable public pages, embeds, suggestions, roadmaps, or similar features, information you choose to publish may be indexed by search engines or shared by visitors. You are responsible for what you make public. We may display attribution and branding consistent with the product experience.
7. Subscriptions and fees
Some features require a paid subscription. Fees, billing cycles, and taxes are presented at checkout or in your account. Payments are processed by third-party providers; their terms may also apply.
Subscriptions renew automatically until you cancel through the method we provide (for example, account settings or your billing portal). If you cancel, you retain access until the end of the current billing period unless stated otherwise. We may change pricing with reasonable advance notice; continued use after the effective date constitutes acceptance except where applicable law requires a different process.
Except where required by law, fees are non-refundable. If you believe a charge is in error, contact us promptly at proseedapp@outlook.com.
8. Third-party services
The Service may integrate with or link to third-party services (including authentication, hosting, analytics, payment, and AI providers). Those services are governed by their own terms and privacy policies. We are not responsible for third-party services you choose to use.
9. AI features
Outputs from AI-assisted features are generated automatically and may be inaccurate or incomplete. You should review outputs before relying on them for important decisions. AI features are provided “as is” as part of the Service and are subject to the disclaimers below.
10. Intellectual property
The Service, including its software, design, branding, and documentation, is owned by Proseed and its licensors. Except for the limited rights expressly granted in these Terms, no rights are transferred to you. You may not copy, modify, or reverse engineer the Service except as permitted by law.
11. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROSEED AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) FIFTY U.S. DOLLARS (USD $50), EXCEPT WHERE PROHIBITED BY LAW.
13. Indemnity
You will defend and indemnify Proseed and its affiliates, directors, employees, and agents against any third-party claims, damages, and costs (including reasonable attorneys’ fees) arising from your User Content, your use of the Service in violation of these Terms, or your violation of law or third-party rights.
14. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you materially breach these Terms, if we are required to do so by law, or if we discontinue the Service in whole or in part. Provisions that by their nature should survive (including intellectual property, disclaimers, limitations of liability, and dispute terms) will survive termination.
15. Changes to these Terms
We may modify these Terms by posting an updated version on this page and updating the “Last updated” date. If a change is material, we will provide additional notice when appropriate. Continued use after the effective date constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.
16. Governing law and disputes
These Terms are governed by the laws of the United States and the State of Delaware, excluding conflict-of-law rules. Subject to applicable law, exclusive jurisdiction and venue for disputes will be the state and federal courts located in Delaware, and you consent to personal jurisdiction there. If you are a consumer in a jurisdiction that gives you mandatory rights, nothing in these Terms limits those rights.
17. General
These Terms constitute the entire agreement between you and Proseed regarding the Service and supersede prior agreements on this subject. If any provision is held invalid, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
